Terms and Conditions

Please read this entire document before hiring or using any Istmic Labs service. By making a payment, signing a proposal, or using our website, you accept all the terms described here.

2. Acceptance of terms

Use of the website istmiclabs.com and hiring any Istmic Labs service implies full and unreserved acceptance of these Terms and Conditions. If you do not agree with any part of this document, please do not use our services.

Istmic Labs reserves the right to modify these terms at any time. Changes will be published on this page with the update date. Continued use of our services after any modification implies acceptance of the new terms.

3. Description of services

Istmic Labs offers the following services, among others:

  • Website and landing page creation
  • Online store (E-commerce) development
  • Integration with automation tools and WhatsApp
  • Monthly hosting and website maintenance
  • SEO optimization and digital consulting
  • Custom application and system development

The specific scope of each project is agreed in writing in the individual proposal or contract before work begins.

4. Hiring and payment process

Hiring of services is formalized through:

  1. Istmic Labs sending a personalized proposal.
  2. Express acceptance by the client (in writing or through payment of the setup).
  3. Payment of the agreed start amount to begin the project.

Prices are expressed in US dollars (USD). Monthly maintenance plans are billed in advance at the start of each month.

Accepted payment methods are those indicated in the corresponding proposal. Istmic Labs does not store credit or debit card data; payments are processed by secure third-party platforms.

5. Refunds and cancellations

Once a project has started and the setup or first month's payment has been made:

  • No refunds are given on the initial (setup) payment if design and development work has already begun.
  • Monthly plans may be canceled with a minimum 15 calendar days' notice before the next billing date.
  • No refunds are issued for months already paid and active.
  • If Istmic Labs cannot complete the contracted service for reasons directly attributable to the company, a proportional compensation or refund will be considered.

6. Client responsibilities

To ensure the project's success, the client agrees to:

  • Provide the necessary materials (text, images, logos, access, etc.) in a timely manner.
  • Designate an available point of contact to respond to inquiries within a reasonable time.
  • Not share access or credentials provided by Istmic Labs with unauthorized third parties.
  • Use the delivered website in accordance with the laws of the Republic of Panama and applicable law.

7. Intellectual property

Once the full project payment is completed, the client acquires the usage rights to the design and content of the website developed for them.

Istmic Labs retains the right to:

  • Use the project as part of its portfolio and marketing materials (unless an explicit confidentiality agreement states otherwise).
  • Reuse generic components, code structures and technical solutions for internal use.

The client declares that the content they provide (text, images, logos, etc.) is their property or that they have authorization to use it. Istmic Labs is not responsible for third-party rights violations arising from client-provided content.

8. Warranty and support

Delivered websites include a 15-day period of adjustments at no cost from the delivery date, for minor corrections within the originally agreed scope.

The monthly maintenance service includes ongoing technical support, updates and backups according to the contracted plan.

9. Limitation of liability

Istmic Labs will not be liable for:

  • Indirect losses, consequential damages or lost profits arising from the use or unavailability of the website.
  • Service interruptions caused by third-party hosting providers, external attacks, force majeure or causes beyond Istmic Labs' control.
  • Specific business results (sales, conversions, search engine rankings), as these depend on multiple external factors.

Istmic Labs' maximum liability in any claim will not exceed the total amount paid by the client in the last 3 months of service.

10. Confidentiality

Istmic Labs agrees to maintain the confidentiality of the client's sensitive business information shared during the project. This obligation continues even after the business relationship ends.

11. Applicable law and jurisdiction

These Terms and Conditions are governed by the laws of the Republic of Panama. Any dispute that cannot be resolved amicably will be submitted to the jurisdiction of the competent courts of Panama City.

The parties agree to attempt to resolve any conflict through direct negotiation before pursuing legal action.
